TERMS AND CONDITIONS OF USE

  1. ACCEPTANCE OF TERMS
  2. Welcome to www.InsidersCircle.com (the “Site”), a web site provided on behalf of Gems Publishing, USA, Inc. (“Gems”).
    The Terms and Conditions of Use include any posted guidelines or rules applicable to particular Content or Services (as defined below) and, as updated by Gems from time to time, are collectively referred to as the “Terms and Conditions” and govern the use of the Site.  You should carefully read the Terms and Conditions before using the Site.  You can review the most current version of the Terms and Conditions at any time at [http://www.Insiderscircle.com].  By using the Site, you: (i) agree to be bound by the Terms and Conditions; (ii) represent and warrant that you are at least eighteen (18) years old; and (iii) represent and warrant that you have the legal authority to accept the Terms and Conditions.  This is a legally binding agreement.  If you do not agree with the Terms and Conditions, you are not authorized to use the Site.
     

  3. ACCESS TO THE SITE

Access to certain portions of this Site requires login and password information provided only to users who have registered and paid a subscription fee (the “Subscribers”).  The subscription login and password are provided for the use of the individual Subscriber only and are not transferable, except that an individual Subscriber may authorize an employee or partner within the Subscriber’s dental practice to use the login and password.  If you have obtained a login and password by any means other than the permission of a Subscriber within your practice, you are not authorized to use that login account and we request that you notify Gems of the improperly disclosed login account information.  Misuse of a login account, including, without limitation, unauthorized sharing of the login and password, may result, at Gems’ sole discretion, in cancellation of the Subscriber’s subscription and other remedies, and Gems shall have no liability to the Subscriber.
     

  5. CONTENT AND SERVICES

The Site may provide certain content (including, without limitation, documents, photographs, advertisements, marketing materials, text, graphics and images) and services that Gems may change or update from time to time (the “Content” and “Services”).  The Content and Services offered on the Site are provided solely to enable users and Subscribers to contact and network with other Gems’ users and Subscribers and for Gems to provide information on topics of interest.

    The ability to post Content is provided to allow users and Subscribers to share ideas and information of interest.  Gems cannot and does not monitor all of the Content posted or transmitted by users and Subscribers.  You are advised to use your best judgment when choosing to participate in any information sharing activity.  Any disclosures made through the Site should only be made after reviewing and agreeing to the Privacy Policy found at [web address].  In the event that any posted Content appears to be inappropriate for display on this Site for any reason, users and Subscribers are encouraged to contact Gems in accordance with Section 5 to request removal of such Content.

    From time to time, Gems may offer marketing promotions (the “Bonus Gift Rewards Program”) as described on the Site.  The Bonus Gifts Rewards Program may award points for certain uses of the Site, including, without limitation, membership, membership renewals, posting to a forum, posting advertisements, and referring other Subscribers all as described on the Site from time to time.  Points for a Subscriber as reflected in Gems records shall be deemed correct. Gems reserves the right to determine the number of points earned on any transaction. Such points expire upon the earlier of three (3) years from the date of award or upon termination of Subscriber’s membership.  The points are not transferable, cannot be converted to cash, and may be redeemed only through the Bonus Gifts Rewards Program for a specified gift or for a gift of equal or greater value substituted at Gems sole discretion without notice to you.  The availability of the Site in any jurisdiction notwithstanding, the Bonus Gift Rewards Program is not offered in any jurisdiction where it is prohibited by law.  By participation in the Bonus Gift Rewards Program, you represent and warrant that participation is not prohibited in your jurisdiction, and you agree that such participation is not compensation and does not create an employee-employer relationship.  Any abuse of the Bonus Gifts Rewards Program or any misrepresentation may subject Subscribers to exclusion from the program.  Gems reserves the right to alter, limit, modify, restrict or discontinue the Bonus Gift Rewards Program at any time without notice to you.
     

    From time to time, Gems may offer the “Refer-a-Colleague” promotion as part of, and subject to the rules of, the Bonus Gifts Rewards Program.  Under the Refer-a-Colleague promotion, Subscribers may submit to Gems the contact information of the Subscriber’s friends and colleagues who are dental professionals that have expressed interest in Gems’ Content and Services.  By submitting a referral, Subscribers are representing that the referred individual has authorized the submission of his or her contact information.  Upon receipt of a referral, Gems may contact the referred individuals to provide them information on creative new ways to energize their practice.  In the event that a referred individual indicates that the referral was unauthorized or cannot be reached through the provided contact information, Gems reserves the right to withhold or cancel the associated Bonus Gifts Rewards Program points.  Point awards for making a referral under the Refer-a-Colleague program are limited to 2 referrals per Subscriber per 30-day period.  Gems reserves the right to exclude any Subscriber from the Refer-a-Colleague promotion or to cease awarding or honoring Bonus Gift Rewards Programs points at any time in Gems’ sole discretion.   Gems reserves the right to alter, limit, modify, restrict or discontinue the Refer-a-Colleague promotion at any time without notice to you.
     

  7. USE OF THE SITE AND REGISTRATION REQUIREMENTS

Use of the Site is voluntary.  You may choose not to use the Site and you may choose not to register as a Subscriber.  The information Gems obtains from users and Subscribers will be used only in accordance with Gems’ Privacy Policy.  You may cancel your subscription at any time by contacting Gems at the addresses provided in Section 5

    If you choose to register as a Subscriber, you agree that you will be responsible for maintaining your password as confidential and for any activity that occurs as a result of your enabling or permitting another person or entity to use your password.  You agree to immediately notify Gems by one of the methods in Section 5 in the event that (i) your password is lost or stolen, or (ii) you become aware of any unauthorized use of your password or of any other breach of security related to the Site.  Gems is not responsible for any loss or damage arising from your failure to comply with the provisions of this section.

  11. PROHIBITED BEHAVIOR

    You are responsible for all Content that you upload, post, email or otherwise transmit using the Site.  Likewise, you are responsible for respecting Gems’ and third parties’ rights with respect to Content that appears on the Site and not to download, email or otherwise transmit such Content in violation of Gems’ and third parties’ rights.  You agree to use the Site solely to accommodate your own personal needs or the business needs of your practice.  You may not use or exploit any portion of the Site to provide any commercial services to third parties or offer any portion of the Site to any third party.  You shall not use the Site or Services to:

    • Upload, post, email, or otherwise transmit any Content that infringes any patent, trademark, trade secret, copyright or other intellectual property right, privacy right, or publicity right of any person or entity.  By uploading, posting, emailing or otherwise transmitting any Content, you represent and warrant that you have all rights to take such action with respect to the Content;  
    • Upload, post, email, or otherwise transmit any Content that is illegal, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, pornographic, sexually explicit, invasive of another’s privacy, hateful or racially, ethnically, or otherwise offensive;
    • Impersonate another person or entity, including without limitation, a representative of Gems or its officers, directors, employees or agents, falsely represent or misrepresent your affiliation with another person or entity, or forge headers or otherwise manipulate identifiers that would disguise the origin of any Content transmitted to or through the Site;
    • Upload, post, email or otherwise transmit any unsolicited or unauthorized advertising, promotional materials, including without limitation, initiation or perpetuation of any “Spam”, “Junk Mail”, chain letters, or any other potentially objectionable form of unsolicited communication;
    • Collect or store personal data with respect to third parties except as contemplated by the Terms and Conditions;
    • Directly or indirectly, intentionally disrupt or interfere with the Site in any manner that may materially adversely affect Gems or any third party;
    • Upload, post, email or otherwise transmit any material that contains software viruses or any other code, files or programs designed or known to disable, interrupt, or limit the functionality of any computer hardware, computer software, or telecommunications equipment or facilities; or,
    • Upload, post, email or otherwise transmit without authorization any material that contains personal or private information concerning any third party person or entity, including without limitation, phone number(s) or addresses, credit/debit cards, calling cards, account numbers, social security numbers, passwords or other similar information.
       
  12. COMPLIANCE WITH LAWS; HIPAA

    You may not use the Site for any purpose or in any manner that violates any local, state, or federal law or regulation or the law or regulation of any foreign government, including, without limitation, (i) the posting of any protected health information (including, without limitation, any photographs of your patients (“Patient Photos”)) that would constitute an unauthorized use or disclosure under the Health Information Portability and Accountability Act of 1996, including, without limitation, its implementing regulations (“HIPAA”) or any applicable state laws or regulations; (ii) the making of any claim for any product, service, or treatment that would constitute consumer fraud or false or misleading claims; and, (iii) the violation of prohibitions against marketing or advertising unapproved medical devices, drugs, or other medical treatment.  You agree that, to the extent required and/or appropriate, you are responsible for obtaining any authorizations, informed consents, institutional or privacy board approvals and/or other required approvals (collectively “Patient Approvals”) prior to submitting protected health information to the Site, and, upon Gems’ request, you agree to present redacted copies of the Patient Approvals to Gems.  By posting protected health information, including, without limitation, Patient Photos, to this Site, you represent and warrant that you have obtained and maintain a copy of an appropriate  Patient Approval that complies with HIPAA and applicable state law, and that permits the disclosure, copying and distribution of the information through any media and use and disclosure of PHI as set forth in the Terms and Conditions and Privacy Policy. 

    You agree that Gems may use the protected health information in any lawful manner and that Gems will not return the protected health information to you after you submit it except as required by law.  To the extent required, you have informed patients that the protected health information will not be returned and/or expunged and that it may be used and disclosed in accordance with these Terms and Conditions and the Privacy Policy.  [Discuss the type of authorization that will be required for these purposes.]

    You understand that any Content or Services that process Patient Photos to simulate the desired outcome of treatment for your patients are simulations only and not a guarantee or warranty of the outcome of treatment.  Prior to using such Content or Services, you shall inform the patient that the simulation is not a guarantee or warranty of the outcome of treatment and you are advised to obtain an acknowledgement of same from the patient in writing.  Additionally, prior to using such Content or Services, you are advised to seek legal advice to verify that your release and proposed use of Patient Photos complies with all applicable federal and state laws and regulations, including without limitation, HIPAA.  [Discuss other desired uses of Patient Photos and legal channels for other uses.]
     

  13. DISCLAIMER OF WARRANTIES

    THE USE OF THE SITE IS SOLELY AT YOUR OWN RISK.  THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.  GEMS EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND WITH RESPECT TO THE SITE (INCLUDING, WITHOUT LIMITATION, THE CONTENT AND/OR SERVICES OFFERED ON THE SITE) WHETHER EXPRESS OR IMPLIED INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.  GEMS EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR THE ACTIONS OF ANY SUBSCRIBER OR OTHER USER WHO USES THE SITE.  SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.  GEMS MAKES NO WARRANTY THAT THE SITE WILL MEET YOUR REQUIREMENTS, OR WILL BE UNINTERRUPTED, TIMELY, SECURE, CURRENT, ACCURATE, COMPLETE OR ERROR-FREE OR THAT THE RESULTS THAT MAY BE OBTAINED BY USE OF THE SITE WILL BE ACCURATE OR RELIABLE.  YOU UNDERSTAND AND ACKNOWLEDGE THAT YOUR SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO ANY DEFECT IN OR DISSATISFACTION WITH THE SITE IS TO CEASE TO USE THE SITE.  YOU MAY HAVE OTHER RIGHTS WHICH MAY VARY FROM STATE TO STATE OR WITHIN NATIONAL JURISDICTIONS.

YOU EXPRESSLY UNDERSTAND AND AGREE THAT GEMS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA LOSS, OR OTHER LOSSES (EVEN IF GEMS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) RESULTING FROM ANY MATTER RELATED TO YOUR USE OF THE SITE.
     

  15. PHOTOGRAPHS AND IMAGES.

    You understand that you may upload, post or transmit images (such as your photograph, Patient Photos, or other graphics) to third party users through the Site (collectively, “Images”).  You authorize Gems (and have all of the necessary rights from third parties to authorize Gems) the right to copyright, license, publish, broadcast, display, reproduce, and distribute in any manner the Images, including, without limitation, the Patient Photos and simulations of the outcome of treatment contemplated in Section 7.  You understand that the Images may be altered, adapted, or modified in connection with such use, and that the Images may be used alone or in combination with a fictitious name and you have notified any applicable patients of this.  You understand that you will not receive any royalties or other reimbursement for permitting Gems to use the Images.  You grant Gems and other users (and have all of the necessary rights from third parties to grant Gems and other users) the absolute right and permission to use, re-use, publish, and re-publish the Images, with or without names, or reproductions thereof or excerpts therefrom, made through any medium, and in any and all media now or hereafter known for any purpose whatsoever including, without limitation, in marketing and on other web sites.  You also consent (and have all of the necessary rights from third parties to consent) to the use of any printed matter or other photograph or artwork of any kind without any restriction or limitation thereon, in conjunction therewith.  You also understand that you and any third parties will have no copyright or other rights with respect to the Images as they are used by Gems or users.  You hereby release, discharge and agree to hold harmless Gems and any users, from and against any and all claims and demands, including but not limited to, any claims for copyright infringement, defamation, invasion of privacy or right of publicity, arising out of or in connection with any use of the Images.

  16. DISCLAIMER OF CONTENT

    You agree that all Content provided by third party users in connection with this Site is the responsibility of the person or entity providing such Content.  You understand and acknowledge that Gems assumes no responsibility to screen or review Content provided as part of the Site.  Gems shall have the right, but not the obligation, in its sole discretion to refuse, monitor, or remove any Content that is available on the Site.  Gems expressly disclaims all responsibility or liability to users and any other person or entity for the performance or nonperformance of the Content review.  THE CONTENT FOUND ON THE SITE MAY NOT BE APPROPRIATE OR SATISFACTORY FOR YOUR USE, AND YOU SHOULD VERIFY ALL CONTENT BEFORE RELYING ON IT.

    • Reporting Violations

Users and Gems agree that this Agreement and the relationship between the users and Gems will be governed by the laws of The Commonwealth of Massachusetts, without respect to its conflict of laws provisions and that venue with respect to any dispute between the users and Gems will rest exclusively in the state or federal courts located in Boston, Massachusetts.
     

  21. CHANGES

    Gems may change the Terms and Conditions from time-to-time.  If such a change is made, Gems will post the revised Terms and Conditions on the Site.  Gems reserves the right to add to or change the Site or cease offering the Site (or any Content or Services on the Site) at any time and without liability.  Gems reserves the right to refuse to offer access to the Site to anyone at anytime without notice.
     

  22. MISCELLANEOUS

    We request that you provide your credit card information (“Credit Card Information”) to purchase a subscription to the Site or to purchase goods and services marketed through the Site. We collect Credit Card Information and use it only to process such transactions.
